A client relationship is created only through a separate written agreement signed by both parties.
If you engage Utility Audit for services, those services will be governed by a separate written agreement between you and Utility Audit (an “Engagement Agreement”).
If there is any conflict between these Terms and an Engagement Agreement, the Engagement Agreement will control with respect to the applicable services.

Your use of the Site is also subject to our Privacy Policy, which is incorporated into these Terms by reference.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UTILITY AUDIT DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF MALWARE OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UTILITY AUDIT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID, IF ANY, TO ACCESS THE SITE, WHICHEVER IS GREATER.

We may suspend, restrict, or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms, misused the Site, created risk for Utility Audit or others, or if suspension or termination is otherwise necessary to protect the Site, our systems, or our rights.
The provisions of these Terms that by their nature should survive termination will survive, including without limitation the sections on intellectual property, disclaimers, limitation of liability, indemnification, governing law, venue, severability, and no waiver.
We may update, modify, suspend, or discontinue any part of the Site at any time without notice.
We may also revise these Terms from time to time. When we do, we will update the Effective Date above. Your continued use of the Site after the updated Terms become effective constitutes your acceptance of the revised Terms.
These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws principles.
Any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction and venue of those courts.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.
Certain features, tools, portals, downloads, or services made available through the Site may be subject to additional terms, conditions, or notices. If additional terms apply, they will supplement these Terms and control to the extent of any conflict for that specific feature or service.
